And no, it is not intended to catch you out.
Copyright and Trademarks
The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks or other artwork supplied by the client to Webeurope (Taunton) Ltd (herein after referred to as "Webeurope") for inclusion in the web design project are owned by the client, or that the client has permission from the copyright owner to use each of these elements furnished by the client.
Completion Date
Webeurope and the client must work together to complete the web design project in a timely manner. We agree to work expeditiously to complete the web design project no later than 30 days after the client has submitted all necessary materials, and approved the visual designs.
Early Completion Discounts
Where Early Completion Discounted prices have been given, and the client fails to supply Webeurope with complete text and graphic content within the 30 days period, Webeurope reserves the right to charge the client the normal price of the work, and the client will forfeit any quoted discount for completion within the 30 day period.
Design and Development Expertise
While every effort will be made to accommodate a clients personal design ideas and preferences, Webeurope reserves the right to decline to incorporate any design element, selection of colour combination, layout, or other aspect of the design if, in our opinion, it conflicts with our ability to produce a professional website of a very high standard.
Content Management Systems
The Content Management System has been developed by and is the property of Webeurope, and is subject to copyright. To protect this copyright transfer of the Content Management System to servers operated by 3rd parties will not be permitted.
Search Engines
Webeurope provides industry standard Search Engine Optimisation (SEO) during the development of the clients website, which includes selection of page titles, opening paragraphs and meta tags, utilising your key phrases as we think best. We do not guarantee position on any search engine. Search engines are operated by third parties who frequently change the algorithm they use to index website pages. We will guarantee to ensure your chosen pages are listed in the relevant search results for the keywords you chose (within 3 months after any other page on your website has been indexed), or we will refund the SEO fee for that page. The term "listed" does not mean top 10, it means anywhere in the relevant search results.
Contents of Web Pages and Undertakings
You will be solely responsible for the content of your Website. If you provide Webeurope with text, images, logos etc to be used in any form, you hereby warrant that these do not infringe the rights of third parties and will indemnify Webeurope against any action taken against Webeurope by any such third party.
Website Updates
This agreement allows for minor web site image and text updates to website pages over a 12 month period. Such updates shall not exceed 30 minutes in any 1 month period. Updates in excess of this shall be chargeable subject to quotation and agreement with the client.
Limitation of Liability (Hosting)
Webeurope shall not be responsible for any claimed damages, including incidental and consequential damages, which may arise from Webeurope's servers going off-line or being unavailable for any reason whatsoever, or resulting from the corruption or deletion of any web site from one of Webeurope's servers.
Hosting Period
The Hosting Period shall start from the day that the domain name, and website server space is created on our servers, and shall run for a period of 12 months from that date. Hosting Fees must be paid within 3 days of their expiry date, or your website may go offline due to non payment.
Suspension of Services
We reserve the right to suspend services in any cases where you fail to perform your obligations under this agreement. If payment for the provision of any service is not received within the terms of payment stipulated by us, websites and email services may be suspended until payment is received.
Compliance with UK and EU Law
Clients are responsible for compliance with UK and European Union legislation for internet trading, and the sending of unsolicited email (Spam). Failure to comply with the UK and EU law will result in suspension of services.
Bandwidth
If your bandwidth reaches the points where it has an adverse affect on other clients we reserve the right to disable your site until you can reduce your bandwidth usage.
Cancellation
Webeurope or the Client can terminate or cancel Webeurope’s services at any time providing 30 days written notice is given. The Client will be invoiced for all work undertaken up to the point of termination. Once a website design and development project has been started all payments received by Webeurope are not refundable.
Refunds
If you take out one of our yearly web hosting or bulk emailing packages we expect you to commit for this period of time. If you cancel your account within your service period then Webeurope will not make any refunds on any unused portions of your account.
Cancelled Appointments
If you make an appointment with a member of our support staff to attend your premises, and you cancel the appointment, or fail to attend, without giving us at least 6 hours prior notice, we reserve the right to make a charge of £250+vat to cover our costs.
General Terms
You must not divulge your website Content Management System, Email, or Server passwords to any other person, and you should take reasonable precautions to ensure that it is not discovered by other people. To protect your privacy we never distribute your name or e-mail address to any third parties. When your account is closed, all files (including web pages, etc.) will be deleted. Hosting, SEO, and Bulk emailing prices are subject to review on a yearly basis.
Modification of these Terms
We reserve the right to add, delete, or modify these terms and conditions. All clients are encouraged to review this website on a regular basis to ensure they are aware of any changes.
